Company Policy

 

 

                                                                         ANTI-FRAUD POLICY

Introduction

DOWELEF INTERNATIONAL (T) LIMITED fraud policy is established to facilitate the development of controls that will aid in the detection and prevention of fraud against the Company. It is the intent of the Company to promote consistent organizational behavior by providing guidelines and assigning responsibility for the development of controls and conduct of investigations.

 

Our goal is to establish and maintain a business environment of fairness, ethics and honesty for our employees, our customers, our suppliers and anyone else with whom we have a relationship. To maintain such an environment requires the active assistance of every employee and manager every day. 

Our organization is committed to the deterrence, detection and correction of misconduct and dishonesty.

The company specifically prohibits these and any other illegal activities in the actions of its employees, managers, executives and others responsible for carrying out the organization’s activities.

It is the responsibility of every employee, supervisor, manager and executive to immediately report suspected misconduct or dishonesty to the office.  Supervisors, when made aware of such potential acts by subordinates, must immediately report such acts to the Company.

To facilitate reporting of suspected violations, especially in those situations where the reporting individual wishes to remain anonymous, the company has established a pigeon hole, mailings and telephones.

Authority to carry out these three additional responsibilities is often delegated to subordinates.  However, accountability for their effectiveness cannot be delegated and will remain with supervisors and managers.

 

 

 

 

CHILD LABOUR POLICY

 

The foundation of Dow elef Inernational (T) Itd  ‘No Child Labour Policy’ is based on the Company’s commitment to find practical, meaningful and culturally appropriate responses to support the elimination of such labour practices. It has been formulated in consideration with the acts. It therefore endorses the need for appropriate initiatives to progressively eliminate these abuses.

Policy

Dow elef Inernational (T) Itd  does not employ any person below the age of eighteen years(18) at the workplace. Dow elef International (T) Itd prohibits the use of child labour and forced or compulsory labour at all its units. No employee is made to work against his/her will or work as bonded/forced labour, or subject to corporal punishment or coercion of any type related to work.

Implementation

This policy is publicly available throughout the Company and clearly communicated to all employees in a manner in which it can be understood through induction programmes and policy manuals. The implementation of the policy is the responsibility of the unit’s human resources department and the security staff, who do not permit minors to enter the factory as workers. There is zero tolerance policy towards its breach.Employment contracts and other records, documenting all relevant details of the employees, including age, are maintained at all units and are open to verification by any authorized personnel or relevant statutory body. The unit provides an annual report to the functional head on any incidents of child or forced labour.

Monitoring & Audit:

Periodic assessment is conducted. The human resources department undertakes random checks of records annually.

 

 

 

NON-DISCRIMINATION POLICY

 

It is the policy and commitment of Dow elef International (T) Ltd that it does not discriminate on the basis of race, age, color, sex, national origin, physical or mental disability, or religion.

 

Equal Employment Opportunity

Dow elef International (T) Ltd is committed to a policy of equal employment opportunity and does not discriminate in the terms, conditions, or privileges of employment on account of race, age, color, sex, national origin, physical or mental disability, or religion or otherwise as may be prohibited by federal and state law.

Harassment or intimidation of a client, staff person or guest because of that person’s race,age,color, sex, national origin,physical or mental disability,or religionis specifically prohibited and may be grounds for termination.Harassment and bullying includes abusive, foul or threatening language or behavior.

 

Dow Elef International (T) ltd is committed to maintaining a workplace that is free of any such harassment and will not tolerate discrimination against staff members, volunteers or agency clients.

 

Issues of discriminatory treatment, harassment, or intimidation on any of these bases should immediately be reported to the Managing Director, immediate supervisor and, if substantiated, prompt action will be taken.

 

 

Dow Elef International Conflicts of Interest Policy

 

We expect each other to act in the best interests of the Company.

At Dow Elef International, we always expect one another to act inthe best interests of the Company. This means thatbusiness decisions should be made free from anyconflict of interest. They should also appear impartial.

We must make our decisions based on soundbusiness reasoning.

Conflicts of interest may occur when an individual’soutside activities or personal interests conflict orappear to conflict with his or her responsibilities toDow Elef International. An outside activity would be considered aconflict of interest if it:

• Has a negative impact on our business interests.

• Negatively affects Dow Elef International’s reputation orrelations with others.

• Interferes with an individual’s judgment incarrying out his or her job duties.

Employees and directors — and their close relatives –

Must never:

• Compete against the Company.

• Use their position or influence to secure animproper benefit for themselves or others.

• Use Company information, assets or resourcesfor their personal gain or the improper benefit

of others.

• Take advantage of inside information or theirposition with the Company.

Any activity that has the appearance of a conflict ofinterest — whether or not an actual conflict exists —must be avoided. If you think you may be in asituation that could be perceived as a conflict,disclose the potential conflict to your supervisor ormanager immediately. Of course, if any of us sees aconflict of interest at Dow Elef International, we must report it.

Avoiding conflicts of interest in all of our businessdecisions is essential to our values of Integrity

and Trust.

 

 Avoid Accepting or Giving Gifts, Fees, Favors or Other Advantages

It is also a conflict of interest for a Dow Elef International employeeor director to give or receive gifts or entertainmentof more than nominal value or cash in any amount toor from people or companies doing or seeking to dobusiness with Dow Elef International.

Therefore, we must not:

• Accept fees or honoraria in exchange for servicesprovided on behalf of the Company.

• Provide or accept gifts or entertainment from anyone doing or seeking business with Dow Elef International. Generally, modest forms of gifts and entertainment received from vendors are acceptable and do not create conflicts of interest.

• Give a gift or entertainment to anyone for the purpose of improperly influencing him or her to take action in favor of Dow Elef International.

We must never use material nonpublic information of any kind for personal gain

We must never use material nonpublic informationabout Dow Elef International or the companies doing business withDow Elef International for personal gain. In addition, we must nevergive material nonpublic information to others who maypurchase or sell Dow Elef International securities or the securitiesof other companies.

 

 GENDER EQUALITY POLICY

 

Dow elef International (T) Limited is a private company registered in Tanzania since 2003.

The Company Complies with the laws of Tanzania, international conventions and Common laws, hence we recognize gender equality in the society, we also care about all gender equality so we discourage gender discrimination all time.

Gender equality means being fair to women and men. To ensure fairness, measures are often needed to compensate for historical and social disadvantages that prevent women and men from otherwise operating as equals.

Gender equality means that women and men enjoy the same status and have equal opportunity to realize their full human rights and potential to contribute to national, political, economic, social and cultural development, and to benefit from the results.

Originally it was believed that equality could be achieved simply by giving women and men the same opportunities. Same treatment, however, was found not necessarily to yield equal results. Today, the concept of equality acknowledges that women and men may sometimes require different treatment to achieve similar results, due to different life conditions or to compensate for past discrimination.

Gender equality, therefore, is the equal valuing by society of both the similarities and the differences between women and men, and the varying roles they play.

In our Company we practice gender quality at maximum level as follows:

·         There are sufficient resources and knowledgeable personnel, along with an enabling corporate environment to promote gender equality;

·         There are accountability frameworks which ensure that the gender equality policy is implemented;

DRUG AND ALCOHOL POLICY

 

Dow Elef International (T) Ltd is a privately owned company that provides top-notch clearing and forwarding solutions and offers transportation and logistics services through its sister company, Business Trust (T) Ltd and Warehouses.

Drugs and alcohol use are factors that can contribute to accidents and incidents within the work place. Therefore, to comply with our HSEQ commitment to pursue our goal of no harm to people and maintaining a safe work culture, it is prohibited to use illegal drugs at all times or work whilst under the influence of alcohol.

To prevent the use of illegal drugs or working under the influence of alcohol Dow Elef International (T) Ltd:

·         Prohibits the consumption and possession of drugs, alcohol and other related forms of substances liable to abuse at all Dow Elef facilities and locations (apart from medical prescriptions).

·         Prohibits the consumption of kava at all Dow Elef facilities and locations (the consumption of kava is only permissible during official ceremonial functions under the approval of the Managing Director).

·         Forbids any employee who is under the influence of drugs or alcohol to work in any Dow Elef facilities and locations including driving of company motor vehicles or any other mobile equipment.

·         Encourages employees with drug and / or alcohol related problems to seek assistance for rehabilitation and counseling.

·         Will comply with applicable laws and regulations in the countries where Dow Elef operates and assists the authorities in any enquiries made regarding our employees and contractors.

·         Reserves the right to search any employee and his / her personal belongings for drugs and alcohol within the work locations.

·         Reserves the right to randomly test any employee without notice.

·         Takes disciplinary action, including termination of employment, on any employee who violates this Policy.

·         Requires our contractors to apply the same principles to their employees contracted to provide services to the Company.

 

 

 HEALTH, ENVIRONMENT AND SAFETY POLICY

 

Dow Elef International (T) Ltd is determined to continuously improving the way it does business for purposes of over-satisfying its clients’ needs and staying ahead of competition by putting in place systems that will ensure full compliance with the highest Environment, Health and Safety Standards. We plan to achieve this goal by adopting the best HES practices from the Oil industry and other regulation authorities. We shall purpose the principle of continuous improvement through effective performance monitoring to ensure achievement of our policy.

Specifically we are committed to the following actions in the implementation of our Health, Environment and Safety policy.

Ø  Create and maintain a professional and motivated workforce that is adequately trained in all aspects of safe product delivery and handling accompanied with a policy of recognizing and rewarding performance.

Ø  Observe all HES laws and regulations of this country

Ø  Maintain an incident free environment by eliminating all truck and product related incidents by making all employees fully responsible and accountable for HES.

Ø  Commitment to an alcohol and drug free workplace together with a program to ensure compliance

Ø  Put in place an effective emergency preparedness and response program to promptly and effectively mitigate incidents when they do occur.

Ø  Make it a priority to maintain a safe fleet through proper selection and design of trucks supported by an effective preventive maintenance program

Ø  Have in place a self-audit process to monitor performance against KPI’s and compliance with basic procedures

Ø  Demonstrate management involvement and commitment to create and sustain transportation HES awareness and culture across the company through effective participation and communication.

We shall work very closely with the oil companies to ensure that continuous improvement in HES is achieved within us and that our mutual objectives of meeting customer expectations are met.

 

 SECURITY POLICY STATEMENT

 

The objective of Security Policy is to ensure the business continuity of Dow Elef Company and to minimize the risk of damage by preventing security incidents and reducing their potential impact.

          The policy’s goal is to protect people & property from loss by intentional        destruction or theft,protect the organization’s informational assets against all internal, external, deliberate or accidental threats.

          The MD has approved the information security policy

The security policy ensures that:

             Information will be protected against any unauthorized access;

·         Confidentiality of information will be assured;

·         Integrity of information will be maintained;

·         Availability of information for business processes will be maintained;

·         Legislative and regulatory requirements will met;

·         Business continuity plans will be developed, maintained and tested;

·         Information security training will be available for all employees;

·         All actual or suspected information security breaches will be reported to the

·         Information Security Manager and will be thoroughly investigated.

·         Procedures exist to support the policy, including virus control measures, passwords and continuity plans.

·          All managers are directly responsible for implementing the policy and ensuring staff compliance in their respective departments.

·         General Security- Reporting of security risks, threats and incidents.

·         Selection and use of external security service providers.

·         Compliance with the Information Security Policy is mandatory.

The policy will be reviewed yearly by the Management HSEQ Committee Team.

 

 CELLPHONE USE POLICY

 

Dow Elef International (T) Ltd. is a privately owned company that provides top-notch clearing and forwarding solutions and offers transportation and logistics services through its sister company, Business Trust (T) Ltd and Warehouses.

Cellphones Use has become essential business tool for many of our staff and drivers. Therefore, to comply with our HSEQ commitment to pursue our goal of no harm to people and maintaining a safe work culture, it is prohibited to use a mobile phone whilst driving a company motor vehicle, regardless of whether the vehicle is fitted with a hands free kit.

The following restrictions apply to the use of Cell phones whilst driving company vehicles:

·        No outgoing calls should be made or incoming calls received by the driver while the vehicle is in motion.

·        Prior to making any calls, the driver must park the vehicle in a safe manner and ensure that the vehicle is stationary.

·        Mobile phones may be turned on with the redirection of calls to a message bank which briefly signals the driver when a message has been recorded.

·        If there is no message bank capability, the mobile phone must be turned off.

·        No outgoing text messages should be made or incoming text messages read by the driver whilst the vehicle is in motion.

All company employees and contractors operating under our control are expected to observe this policy at all times and under all circumstances.

 

 SMOKING POLICY

 

Due to the health concerns arising from exposure to environmental tobacco smoke, Dow Elef Company has instituted this policy to provide a smoke-free environment for all employees and visitors.

 

Definitions:

This policy covers the smoking of any tobacco product and the use of smokeless (or spit) tobacco.

 

Smoking will not be allowed within the building at any time. Smoking will be allowed in designated smoking areas outside the building, at least 15 feet from any entrance, exit or ventilation system.

 

All materials used for smoking, including cigarette butts and matches, will be extinguished and disposed of in appropriate containers as provided. Supervisors will ensure periodic clean up of the designated smoking area.

 

There will be no smoking in company vehicles at any time.

 

Supervisors will discuss the issue of smoking breaks with their staff. Together they will develop an effective solution that will not interfere with the productivity of the staff but allow for the wishes of the employee to be met.

 

Policy Dissemination:

 

Employees will be informed of this policy through signs posted in buildings and vehicles, the policy manual, and will receive orientation and training from their supervisors.

 

Visitors will be informed of this policy through signs and it will be explained by their host.

 

The company will assist employees who wish to quit smoking by facilitating access to

Recommended smoking cessation programs and materials. Any violations of this policy will be handled through standard disciplinary procedures.

 

 ANTI-SEXUAL EXPLOITATION AND ABUSE POLICY:

 

Anti-Sexual exploitation and abuse constitute acts of serious misconduct and are therefore grounds for disciplinary measures, including summary dismissal.

Reiterating obligations under Dow elef International (T) Limited Staff Regulations and Rules, the Special measures for protection from sexual exploitation and sexual abuse bulletin provides that:

Our responsibilities

It is the responsibility of our managers, employees and anyone who works with us to report incidences of incorrect behavior being perpetrated by anyone within the Company or working for other agencies.

These and other types of sexually exploitive or sexually abusive behavior may be grounds for administrative action or disciplinary measures, including summary dismissal, pursuant to the United Nations Staff Regulations and Rules.

 

ANTI- BRIBERY POLICY

 

A bribe is an inducement or reward offered, promised or provided in order to gain any commercial, contractual, regulatory or personal advantage.

 

POLICY STATEMENT

        I.            It is our policy to conduct all of our business in an honest and ethical manner. We take a zero-tolerance approach to bribery and corruption and are committed to acting professionally, fairly and with integrity in all our relationships and business dealings wherever we operate and to implementing and enforcing effective systems to counter bribery.

      II.            We will uphold all laws relevant to countering bribery and corruption. We remain bound by the laws of the United Republic of Tanzania and the common laws, in respect of our conduct both at home and abroad.

    III.            The purpose of this policy is to.

a)      To set out our responsibilities, and of those working for us, in observing and upholding our position on bribery and corruption.

b)      To provide information and guidance to those working for us on how to recognize and deal with bribery and corruption issues.

    IV.            Bribery and corruption are punishable for individuals and company also and if we are found to have taken part in corruption we could face an unlimited fine and face damage to our reputation. We therefore take our legal responsibilities very seriously.

      V.            We have identified that certain of our activities create particular risks for our organization, in particular:

a)      Overseas collaborations, joint ventures and partnerships.

b)      Receipt of gifts and donations.

c)       Grant funding.

d)      Public procurement, particularly where the activities relate to construction.

e)      Taken steps to implement a training program for all individuals operating in areas of the organization that is perceived as high risk.

This policy applies to all individuals working at all levels and grades, including senior managers, officers, directors, employees (whether permanent, fixed-term or temporary), consultants, contractors, trainees, seconded staff, home workers, casual workers and agency staff, volunteers, interns, agents, sponsors, or any other person associated with us, or any of our subsidiaries or their employees, wherever located (collectively referred to as workers in this policy).
